These Terms and Conditions (“Terms”) govern your access to and use of Carbonless.org and any related websites, educational materials, digital products, memberships, directories, communications, artificial intelligence features, and services operated by Carbonless Inc. (“Carbonless,” “we,” “us,” or “our”).

By accessing the website, creating an account, purchasing a product, submitting a form, communicating with Carbonless, requesting a consultant referral, or otherwise using any Carbonless service, you agree to these Terms, our Privacy Policy, and our Shop Policy.

If you do not agree, do not use the website or its services.

1. About Carbonless Inc.

Carbonless Inc. is a nonprofit educational organization recognized as tax-exempt under Section 501(c)(3) of the United States Internal Revenue Code.

Carbonless provides education concerning building science, building-envelope performance, energy efficiency, moisture management, durability, sustainability, and related subjects.

Carbonless is not acting as your architect, engineer, general contractor, builder, building inspector, energy rater, code official, attorney, financial adviser, or other licensed professional.

Purchases, subscriptions, memberships, consulting payments, and other commercial transactions are not charitable donations merely because Carbonless is a nonprofit organization. A payment is tax-deductible only when it is expressly identified as a charitable donation and otherwise qualifies under applicable law. You should consult your own tax adviser regarding deductibility.

2. Educational Information Only

All information provided through Carbonless—including articles, videos, courses, audio recordings, books, checklists, calculators, diagrams, sample assemblies, illustrations, reference libraries, AI-generated responses, social-media content, and communications—is provided for general educational and informational purposes only.

Carbonless educational content is not:

  • A project-specific architectural drawing, building plan, engineering schematic, specification, permit document, code analysis, or construction contract;

  • A substitute for inspecting or evaluating a particular property;

  • A certification that any material, assembly, design, calculation, or construction method is appropriate for a particular building;

  • A representation that a particular design complies with applicable codes, regulations, manufacturer requirements, warranties, zoning restrictions, or site conditions; or

  • Professional architectural, engineering, contracting, inspection, environmental, legal, or financial advice.

Any diagrams, sample details, calculations, wall assemblies, roof assemblies, illustrations, or other technical materials are conceptual educational references. They are not permit-ready or project-specific plans.

Building performance is affected by climate, orientation, site conditions, materials, workmanship, occupancy, mechanical systems, existing construction, local codes, and many other factors. No educational resource can account for every condition affecting a particular building.

3. Your Responsibility for Building Decisions

You are solely responsible for deciding whether and how to use Carbonless educational information.

Before applying any Carbonless concept, assembly, calculation, recommendation, or building-science principle to a project, you must have the proposed work independently reviewed, adapted, approved, and documented by the appropriately qualified professionals for that particular project.

Depending on the project, those professionals may include a licensed architect, structural engineer, mechanical engineer, building-envelope consultant, energy professional, licensed contractor, manufacturer representative, code official, environmental professional, or other specialist.

You are responsible for:

  • Confirming compliance with all applicable building codes, zoning requirements, permit requirements, safety requirements, and professional standards;

  • Verifying structural capacity, fire safety, moisture behavior, drainage, ventilation, indoor-air-quality implications, material compatibility, and manufacturer requirements;

  • Obtaining all required plans, calculations, permits, inspections, approvals, and professional certifications;

  • Evaluating the qualifications, licensing, insurance, references, and suitability of any professional or contractor you engage; and

  • Monitoring the actual design, installation, construction, and performance of your project.

Carbonless does not approve, certify, inspect, supervise, or warrant any construction project.

4. Independent Carbonless Consultants

Carbonless may maintain a directory or referral network of independent consultants, builders, contractors, or other professionals who have participated in Carbonless education or are familiar with Carbonless building-science principles.

These individuals and businesses are independent parties. They are not employees, agents, partners, joint venturers, franchisees, representatives, or legal affiliates of Carbonless unless Carbonless expressly states otherwise in writing.

Carbonless may introduce you to or provide your contact information to an independent consultant when you specifically request a referral, consultation, estimate, introduction, or related service.

Carbonless’ role is limited to facilitating that connection.

Carbonless does not:

  • Enter into the consulting agreement on behalf of either party;

  • Control the consultant’s work, recommendations, fees, availability, scheduling, representations, business practices, or performance;

  • Guarantee that a consultant holds any particular license, certification, insurance policy, or qualification;

  • Guarantee that a consultant is appropriate for your project;

  • Supervise or inspect the consultant’s work;

  • Guarantee project results; or

  • Resolve contractual, payment, workmanship, professional-liability, or other disputes between you and a consultant.

Any consulting, design, construction, inspection, evaluation, or other professional service is provided solely under a separate agreement between you and the independent consultant or company you engage.

You are responsible for reviewing that agreement and conducting your own due diligence before retaining a consultant.

Any dispute arising from an independent consultant’s services is solely between you and that consultant. Carbonless is not a party to the consulting relationship merely because the connection originated through Carbonless.org.

5. Assumption of Risk

Construction, renovation, energy retrofits, moisture-control work, demolition, and building-envelope modifications involve significant risks. Improper design or installation may result in structural failure, fire, moisture accumulation, mold, indoor-air-quality problems, material damage, personal injury, economic loss, code violations, or other consequences.

By using Carbonless educational information, you acknowledge these risks and accept full responsibility for obtaining project-specific professional review and oversight.

You agree not to rely on Carbonless educational materials, calculators, sample assemblies, AI responses, or general communications as the sole basis for a construction or design decision.

6. Artificial Intelligence and Automated Communications

Carbonless may use artificial intelligence and automation to assist with:

  • Website chat;

  • Inbound or outbound telephone calls;

  • Text messages;

  • Email communications;

  • Form responses;

  • Appointment scheduling;

  • Frequently asked questions;

  • Inquiry routing;

  • Conversation summaries;

  • Customer support;

  • Product recommendations; and

  • Other administrative or educational interactions.

You may sometimes be interacting with an AI system rather than a human representative. AI-generated responses may be incomplete, incorrect, misunderstood, or inappropriate for your particular circumstances.

AI responses are not architectural, engineering, contracting, legal, code-compliance, safety, or other professional advice. Do not rely upon an AI response to make a construction, safety, financial, or contractual decision.

Calls and communications may be monitored, recorded, transcribed, or summarized, subject to applicable law and the notices provided during the interaction. You may request human assistance where reasonably available.

Our collection and use of information from AI-assisted interactions is governed by our Privacy Policy.

7. Telephone, Text, and Email Communications

When you voluntarily provide a telephone number or email address and affirmatively consent to communications, you authorize Carbonless and its service providers to contact you regarding the particular inquiry, request, order, appointment, account, product, service, or program associated with your submission.

Depending on the consent you provide, communications may be sent using automated technology, prerecorded messages, or AI-generated voices.

Consent to receive promotional or marketing calls or texts is not a condition of purchasing a product or service.

Message frequency may vary. Message and data rates may apply.

You may opt out of:

  • Marketing text messages by replying STOP;

  • Marketing emails by using the unsubscribe link contained in the message; and

  • Marketing calls by telling the caller that you wish to be placed on Carbonless’ internal do-not-call list.

Service-related communications concerning an active transaction, account, requested appointment, security issue, or legal notice may continue when reasonably necessary.

8. Eligibility and Minors

The website’s general educational content may be suitable for people of different ages. However, Carbonless accounts, purchases, forms, consultant requests, marketing programs, AI interactions, and data-collection features are intended for adults who are at least 18 years old.

A person under 18 should not independently:

  • Create an account;

  • Purchase a product;

  • submit a form;

  • Request consulting services;

  • Participate in AI chat or AI calling;

  • Subscribe to marketing communications; or

  • Provide personal information to Carbonless.

An adult may purchase Carbonless educational materials and choose to share them with a minor under the adult’s supervision and at the adult’s discretion.

9. Accounts and Memberships

Some Carbonless resources may require an account, paid access, subscription, or membership.

You agree to provide accurate and current information and to maintain the security of your login credentials. You are responsible for activity conducted through your account.

Unless a product description expressly provides otherwise:

  • Access is licensed to the purchaser or registered member only;

  • Login credentials may not be shared;

  • Materials may not be posted to a shared drive, public server, online group, file-sharing service, AI training repository, or other distribution system;

  • Membership access may not be resold or transferred; and

  • Carbonless may suspend or terminate access when it reasonably believes an account has been shared, compromised, used fraudulently, or used in violation of these Terms.

Any recurring billing, renewal, cancellation, or access-period terms displayed at checkout are incorporated into these Terms.

10. Intellectual Property

The website and its contents—including text, photographs, videos, audio, course materials, diagrams, illustrations, graphics, branding, logos, product names, databases, downloads, checklists, calculators, page designs, software, and compilations—are owned by or licensed to Carbonless and are protected by copyright, trademark, and other intellectual-property laws.

Carbonless grants you a limited, personal, nonexclusive, nontransferable, revocable license to access and use purchased or publicly available materials for your own lawful educational or internal business purposes.

Unless Carbonless gives prior written permission, you may not:

  • Copy, reproduce, republish, distribute, sell, sublicense, translate, or publicly display Carbonless content;

  • Remove copyright, trademark, attribution, digital-rights-management, or proprietary notices;

  • Share purchased downloads, courses, memberships, or account credentials with another person;

  • Use Carbonless materials to create a competing course, publication, database, consulting product, software product, AI model, or commercial training program;

  • Scrape, crawl, mine, harvest, index, systematically download, or extract website content or data;

  • Use photographs, illustrations, diagrams, video, or audio outside the context in which Carbonless provides them;

  • Record, rebroadcast, or redistribute courses or member-only presentations; or

  • Use Carbonless names, trademarks, or branding in a manner suggesting sponsorship, certification, affiliation, or endorsement without written permission.

Brief quotations may be used when permitted by law and accompanied by appropriate attribution. No implied license is granted.

11. Prohibited Conduct

You may not:

  • Attempt to gain unauthorized access to the website, CRM, accounts, servers, databases, communications, or administrative systems;

  • Circumvent authentication, access restrictions, payment systems, security controls, or download limits;

  • Introduce malware, ransomware, spyware, viruses, automated attack tools, or malicious code;

  • Probe, scan, stress-test, reverse engineer, or exploit the website without written authorization;

  • Interfere with the website’s operation or another user’s access;

  • Impersonate Carbonless, a consultant, another user, or another organization;

  • Submit false, misleading, fraudulent, defamatory, abusive, unlawful, or infringing information;

  • Use the website to solicit unlawful services or promote unsafe construction practices;

  • Harvest contact information for unsolicited marketing;

  • Use bots or automated systems in a manner that burdens or copies the website; or

  • Assist another person in engaging in prohibited conduct.

Carbonless may restrict access, preserve evidence, and report suspected illegal conduct to appropriate service providers or authorities.

12. User Submissions and Reviews

You retain ownership of original content you submit, including reviews, testimonials, photographs, comments, questions, and feedback.

By voluntarily submitting content for publication or promotional use, you grant Carbonless a worldwide, nonexclusive, royalty-free license to reproduce, format, display, distribute, and use that content in connection with Carbonless’ educational, charitable, operational, and promotional activities.

You represent that you have the right to submit the content and that it does not violate another person’s rights.

Carbonless may moderate or remove content but is not obligated to publish every submission.

Do not submit confidential project information, trade secrets, protected health information, Social Security numbers, complete financial-account information, or information you do not have authority to disclose.

13. Purchases and Refunds

Purchases made through Carbonless are also governed by the Shop Policy and any product-specific terms displayed on the product page or at checkout.

If these Terms conflict with clearly stated product-specific terms, the product-specific terms control for that transaction.

14. Third-Party Websites and Services

The website may link to independent consultants, manufacturers, payment processors, social-media platforms, educational partners, retailers, or other third parties.

Carbonless does not control and is not responsible for third-party websites, products, privacy practices, representations, pricing, availability, security, or performance.

A link, directory listing, mention, or referral does not necessarily constitute an endorsement or warranty.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, CONTENT, PRODUCTS, DIRECTORY, AI FEATURES, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CARBONLESS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, CODE COMPLIANCE, SAFETY, PERFORMANCE, DURABILITY, RESULTS, AND UNINTERRUPTED AVAILABILITY.

CARBONLESS DOES NOT WARRANT THAT:

  • Educational information will be error-free or current in every jurisdiction;

  • Any particular assembly or method will be suitable for your project;

  • A consultant will meet your expectations;

  • The website will always be available or secure; or

  • Use of Carbonless information will produce any particular energy, financial, comfort, health, environmental, or building-performance result.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONLESS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, PROJECT DELAYS, CONSTRUCTION COSTS, PROPERTY DAMAGE, MOLD REMEDIATION COSTS, ENERGY COSTS, BUSINESS INTERRUPTION, OR LOSS OF USE.

THIS LIMITATION APPLIES TO CLAIMS ARISING FROM:

  • Your use of or reliance on educational information;

  • A building design or construction decision;

  • The acts or omissions of an independent consultant, builder, architect, engineer, contractor, manufacturer, or other third party;

  • AI-generated or automated communications;

  • Unauthorized access to an account;

  • Website interruptions; or

  • A product, membership, referral, directory listing, or third-party link.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARBONLESS’ TOTAL LIABILITY ARISING FROM A CLAIM WILL NOT EXCEED THE GREATER OF:

  1. The amount you paid directly to Carbonless for the specific product or service giving rise to the claim during the preceding 12 months; or

  2. One hundred dollars.

These limitations do not apply to liability that cannot legally be limited, or to Carbonless’ gross negligence or willful misconduct where such an exclusion is prohibited.

17. Indemnification and Hold Harmless

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Carbonless Inc. and its directors, officers, employees, volunteers, contractors, licensors, and service providers from claims, demands, actions, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your use or misuse of the website or Carbonless materials;

  • Your application of educational information to a building or project;

  • Your design, construction, renovation, repair, inspection, or consulting activities;

  • Your relationship, agreement, transaction, or dispute with an independent consultant or other professional;

  • Your violation of these Terms or applicable law;

  • Content or information you submit;

  • Your infringement of another person’s rights; or

  • An act or omission by someone using your account.

Any consulting service obtained through a Carbonless introduction remains solely within the domain, control, responsibility, and operation of the independent consultant providing that service.

This provision does not require you to indemnify Carbonless for Carbonless’ gross negligence or willful misconduct where doing so would be prohibited by law.

18. Changes and Availability

Carbonless may update, correct, discontinue, replace, or modify website content, products, memberships, features, pricing, or access methods.

Carbonless may update these Terms by posting a revised version with a new “Last Updated” date. Material changes will apply prospectively unless applicable law requires otherwise.

Continued use after the effective date of updated Terms constitutes acceptance of those Terms.

19. Termination

Carbonless may suspend or terminate access when it reasonably believes you have violated these Terms, infringed intellectual property, engaged in fraud, threatened website security, abused another person, shared restricted materials, or created legal or operational risk.

Sections concerning intellectual property, project responsibility, disclaimers, liability, indemnification, governing law, and dispute resolution survive termination.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal action arising from these Terms or your use of Carbonless.org must be brought in an appropriate state court located in Anoka County, Minnesota, or the United States District Court for the District of Minnesota.

You consent to the personal jurisdiction of those courts.

21. General Provisions

These Terms, together with the Privacy Policy, Shop Policy, checkout terms, and any applicable written product or membership agreement, constitute the entire agreement concerning your use of the website.

If a provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

Carbonless’ failure to enforce a provision is not a waiver.

You may not assign your rights under these Terms without Carbonless’ written consent. Carbonless may assign its rights and obligations in connection with a lawful reorganization, merger, transfer, or succession of its operations.

Headings are provided for convenience and do not limit the meaning of these Terms.
